Please read these terms carefully. They include an arbitration clause and class-action waiver, and explain that Trialuma is not a medical provider.

01 Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Trialuma, a brand of The Nelson M Group LLC ("Trialuma," "we," "us"). They govern your use of trialuma.com and related services, including email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. If you do not agree, do not use the Services.

02 What Trialuma is, and is not

Trialuma is an information service. We publish general, plain-language information about clinical research and let visitors opt in to related updates. We do not recruit for, enroll people in, match people with, or refer people to clinical studies, and we do not share your details with research sites, sponsors, or other partners.

• Participation in any research study is voluntary. Learning about a study does not obligate you to join.
• Each study's research team, not Trialuma, decides who is eligible, explains the risks and benefits, obtains informed consent, and is responsible for the study.
• We do not guarantee that you will qualify for, be matched with, or be paid for any study, or that any study will have any particular result.

03 Eligibility

You must be at least 18 years old, located in the United States, and able to form a binding contract to use the Services. You may only submit information about yourself, or about another person who has authorized you to do so.

04 Your information and accuracy

You agree to give accurate and current information and to update it if it changes. You may only provide a mobile number that you own or are authorized to use. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

05 Communications and text-message consent

If you opt in, you agree that we may contact you by email and, if you check the applicable boxes, by automated text messages as described in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency may vary. Message and data rates may apply. 06 Acceptable use

You agree not to: (a) submit false, misleading, or someone else's information; (b) use the Services for unlawful, fraudulent, or abusive purposes; (c) interfere with or disrupt the Services or attempt unauthorized access; (d) use bots or automated means to submit forms; (e) copy, scrape, or resell our content without permission; or (f) impersonate any person or entity. We may suspend or end your access if you do.

07 Third-party studies and links

Studies and organizations mentioned on or linked from the Services (for example public registry listings) are run by third parties. We do not endorse any study, product, or provider and are not responsible for the conduct, content, or results of third parties. Your relationship with a research team is between you and that team.

08 Intellectual property

The Services, including the Trialuma name, logo, text, graphics, and design, are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Services for personal, non-commercial purposes. Photographs on the Site are used under their respective free-use licenses.

09 Disclaimers

The services and all content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or secure, or that any message will be delivered or delivered on time.

Trialuma does not provide medical advice, and makes no representation about any study, treatment, or health outcome.

10 Limitation of liability

To the fullest extent permitted by law, trialuma and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from your participation or non-participation in any study. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

11 Indemnification

You agree to indemnify and hold harmless The Nelson M Group LLC and its affiliates and personnel from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Services, or your provision of a phone number or other information that you were not authorized to provide.

12 Disputes, governing law, and arbitration

Informal resolution first. Before filing a claim, please contact us at [email protected] and give us 30 days to try to resolve it.

Binding arbitration. Except for small-claims matters and claims for injunctive relief for intellectual-property misuse, any dispute between you and Trialuma or The Nelson M Group LLC arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in your county of residence or by video or phone, at your choice. The arbitrator may award the same individual relief as a court, and judgment may be entered in any court of competent jurisdiction.

Class-action waiver. To the extent permitted by law, you and Trialuma each agree to bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, or representative action.

Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected] with the subject "Arbitration Opt-Out" and your name and mobile number.

Governing law. These Terms are governed by the laws of the state in which The Nelson M Group LLC has its principal place of business, without regard to conflict-of-law rules, and the Federal Arbitration Act. Subject to the arbitration clause, the state and federal courts located in that state have exclusive jurisdiction.

13 Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. We may suspend or terminate access at our discretion, including for violations of these Terms. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and disputes) will survive termination.

14 Changes

We may update these Terms. We will post the new version with a new "Last updated" date. If you continue to use the Services after the effective date, you accept the updated Terms. For material changes, we will provide notice as required by law.

15 General

These Terms, together with the Privacy Policy and SMS Terms, are the entire agreement between you and us on this subject. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, and we may assign them in connection with a merger or sale of the business.
